1. Agreement
1.1These Terms are a contract between you and Swarvani AI Pvt. Ltd.. By ticking the acceptance box, creating an account, or using Swarvani, you agree to them.
1.2You must be at least 18 and legally able to enter a contract. If you accept on behalf of a company, you confirm you are authorised to bind it.
1.3Our Privacy Policy is part of these Terms.
2. The service
2.1Swarvani listens to a working conversation and turns it into structured tasks, requirements, and running software.
2.2Swarvani is in public beta. It is provided as-is. Features may change or be withdrawn, and data loss, downtime and defects are possible. Do not use it as your only copy of anything you care about.
2.3We may change, suspend or discontinue any part of the service. We will give reasonable notice before removing something you are relying on, unless we cannot.
3. Your account
3.1One account per person. Do not share credentials.
3.2You are responsible for everything done through your account. Turn on two-factor authentication.
3.3Tell us immediately at support@swarvani.com if you suspect unauthorised access.
3.4Beta access is granted at our discretion and may be revoked.
4. Recording, and the people in the room
4.1Swarvani captures speech from your microphone. It will capture everyone audible, not only you.
4.2You are responsible for telling every participant that a Swarvani session is running, before it starts, and for obtaining whatever consent the law where they are requires. In some jurisdictions every party must agree; in some workplaces separate rules apply.
4.3You must not use Swarvani to record a conversation you are not a party to, to record anyone covertly where that is unlawful, or anywhere recording is prohibited.
4.4Do not speak information into Swarvani that you are not permitted to disclose to a processor — client confidential material under an NDA that forbids subprocessing, health records, government identifiers, or card numbers.
4.5Breaching this clause is a material breach and we may suspend you immediately.
5. Acceptable use
You will not:
- impersonate any person, or use Swarvani to generate speech or text intended to deceive someone about who they are dealing with;
- clone, synthesise or imitate any person’s voice;
- use Swarvani for unsolicited calls, robocalling, or any automated outbound calling;
- use it for surveillance of employees or any other person without their knowledge;
- build or host anything unlawful, infringing, defamatory, obscene, or harmful to minors;
- attempt to break, overload, reverse-engineer or circumvent any limit or security control;
- resell, sublicense or provide Swarvani as a service to third parties without our written agreement;
- use it to develop a competing product, or to extract our prompts, models or system behaviour;
- create accounts by automated means, or evade a suspension.
6. Content and intellectual property
6.1Yours stays yours. You keep all rights in what you say, what you upload, and the code Swarvani generates for you.
6.2You grant us a licence to host, process, transmit and display that content solely to operate the service for you. That licence ends when the content is deleted.
6.3We keep all rights in Swarvani itself — the platform, its interface, its prompts, and its models.
6.4You are responsible for making sure you have the rights to whatever you feed in.
6.5We may use aggregated, fully anonymised statistics that cannot identify you or your content to improve the service.
7. AI output
7.1Swarvani produces output using AI models. Output can be wrong, incomplete, insecure, or infringing.
7.2You must review generated requirements and code before using them. Do not deploy generated code to production without review and testing.
7.3We make no warranty that output is accurate, fit for any purpose, non-infringing, or free of vulnerabilities.
7.4AI output is not legal, medical, financial or professional advice.
7.5The same or similar output may be generated for other users. We do not guarantee its uniqueness.
8. Credits, payment and tax
8.1The service runs on prepaid credits (SVC). Consumption rates are shown in the app.
8.2Credits are ₹1.25 each, exclusive of tax. Larger packages include bonus credits. The total payable, including any tax, is shown before you confirm a purchase.
8.3Payments are processed by Razorpay. Card and UPI details go to Razorpay, not to us. Razorpay’s own terms apply to the payment.
8.4Credits are added on successful payment and are consumed as you use the service.
8.5Credits have no cash value, cannot be transferred between accounts, and cannot be exchanged for money.
8.6We may change prices with 30 days’ notice. Credits already purchased are not repriced.
8.7Our GST registration is pending. Until a GSTIN is issued to us we cannot raise a GST tax invoice, so you will receive a payment receipt for every purchase instead. Once registration is granted we will publish our GSTIN here and issue tax invoices from that date. GSTIN: pending.
9. Refunds and cancellation
9.1You may stop using Swarvani at any time. There is no subscription and nothing to cancel.
9.2Credits are non-refundable once consumed.
9.3If a payment succeeded but credits were not added, we refund it in full. Email support@swarvani.com within 7 days.
9.4Unused credits may be refunded at our discretion within 7 days of purchase, if no material amount has been consumed.
9.5Approved refunds go back to the original payment method within 5–7 business days of approval. Your bank may take longer to show it.
9.6If we terminate your account without cause, we refund unused credits pro rata.
9.7If we terminate you for breaching clause 4 or 5, unused credits are forfeited.
10. Third-party services
10.1Swarvani depends on third-party services for speech transcription, AI routing and model processing, cloud compute and storage, managed database and authentication, website hosting and analytics, security, communications, and payment processing.
10.2We are not responsible for their outages, changes or acts. If one of these services fails, we will do what we reasonably can, and clause 14 still applies.
11. Availability
11.1We offer no uptime guarantee during beta.
11.2We may take the service down for maintenance, and will give notice where we can.
12. Suspension and termination
12.1We may suspend or terminate you immediately for breach of clauses 4 or 5, for non-payment, or where we are legally required to.
12.2You may delete your account at any time by emailing support@swarvani.com.
12.3On termination your right to use Swarvani ends. Data is handled under clause 8 of the Privacy Policy.
12.4Clauses 6, 7, 13, 14, 15 and 17 survive termination.
13. Disclaimer of warranties
13.1To the fullest extent permitted by law, Swarvani is provided “as is” and “as available”, with no warranty of any kind — express, implied or statutory — including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation.
13.2We do not warrant that transcription will be accurate, that generated code will work, or that the service will meet your requirements.
14. Limitation of liability
14.1To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, business or goodwill.
14.2Our total liability for all claims is capped at the greater of (a) the amount you paid us in the 3 months before the claim arose, or (b) ₹5,000.
14.3Nothing here excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.
15. Indemnity
15.1You will indemnify us against any claim arising from your breach of clauses 4, 5 or 6.4 — in particular any claim by a person whose voice was captured in a session you ran.

17. Governing law
17.1These Terms are governed by the laws of India.
17.2The courts at Vadodara, Gujarat have exclusive jurisdiction.
17.3We will try in good faith to resolve any dispute informally first. Email support@swarvani.com.
18. General
18.1If a clause is unenforceable, the rest survives.
18.2Not enforcing a right once does not waive it.
18.3You may not assign these Terms. We may, on notice, to a successor.
18.4These Terms plus the Privacy Policy are the whole agreement.
18.5We may change these Terms. Material changes are emailed at least 7 days ahead, and continued use after that is acceptance.
